Alexco Environmental Group’s (“AEG”) executive management is pleased to announce that it has purchased Alexco Environmental Group Holdings, Inc. and all its subsidiaries (Alexco Environmental Group Inc., Alexco Water and Environment Inc. and Contango Strategies Ltd.) from Alexco Resource Corp. (“Alexco”) (NYSE: AXU), which will be rebranded as Ensero Solutions Inc. (“Ensero Solutions”), a stand-alone private company, operating with subsidiaries in both the US and Canada.

Ensero Solutions is grateful to Alexco for this opportunity to complete a management buyout and looks forward to its ongoing relationship in support of the Keno Hill project.

AEG was initially formed as a division of Alexco in 2006. Ensero Solutions will continue the AEG business model to be a client-focused environmental consulting and remediation business with specific expertise in environmental assessments, active/passive water treatment, microbiological testing, radiological services, facility operations, and turnkey remediation services for the mining industry and broader industrial sectors.

“Our leadership team will build upon the success we had as AEG and continue building a culture where people can grow their careers and where we help our clients solve their toughest environmental problems” stated Jim Harrington, Chief Executive Officer. “As a stand-alone company, we are excited to have the ability to forge a business built on a team that is passionate about making a positive impact on the environment while ensuring that our clients succeed.”

As Ensero Solutions, the environmental consulting and remediation experts will offer an innovative owner’s perspective in helping its clients develop economically successful projects in an ever-changing environmental landscape.

“At the end of the day, our goal is to build partnerships with our clients, understand their environmental problem and help them succeed,” said Janet Peters, Chief Business Development Officer. “We do this by providing agile, creative and adaptive environmental solutions that not only make a positive impact on the environment and people’s lives, but also on the economic development of every project.”

As part of the transaction, Ensero Solutions formed a strategic alliance with EMX Royalty Corp. (“EMX”), who invested in Ensero Solutions in support of this transaction and entered into a Strategic Alliance Agreement (the “Strategic Alliance”). Under the Strategic Alliance, EMX and Ensero Solutions will cooperate in identifying and potentially acquiring mineral properties with exploration and development upside as well as environmental impairments, with the intention to reclaim and subsequently sell said properties.

Ensero Solutions also received a strategic investment from Legacy Land Stewardship PBC (“Legacy”) and will work to form a strategic alliance to pursue brownfields remediation projects. In this alliance, Ensero Solutions will provide its core services to resolve environmental issues and Legacy will provide sustainable long-term environmental stewardship and seek eco-friendly re-uses for public benefit.
